Metaboly Research Group Inc. is a privately held corporation, owned and controlled chiefly by its founding family. Investment in Metaboly is available only to a limited number of investors, all of whom are known to the company and engaged through direct, authorised channels.

We have become aware of individuals and entities that do not hold any authorised interest in Metaboly representing to prospective investors that they can provide access to Metaboly equity or securities. The typical representation takes the form of: "you cannot invest in Metaboly directly, but invest through us and we will provide that exposure." These representations are false. The parties making them do not hold Metaboly equity and are not authorised to offer, sell, or transfer any interest in Metaboly. If any such party claims to have found an indirect mechanism to offer Metaboly exposure — through forward contracts, secondary arrangements, or other instruments purporting to circumvent our transfer restrictions and right-of-first-refusal provisions — we cannot verify the legality of those arrangements and cannot vouch for the value of any such purported investment. Such arrangements may be entirely without value.

Metaboly does not currently offer investment opportunities to retail investors. We do not offer equity or debt instruments through third-party brokers, agents, intermediaries, or investment funds. Shareholders of Metaboly are not authorised to transfer their interests without the company's prior written consent. Any offer to invest in Metaboly that does not originate directly from Metaboly is not a legitimate offer.

There is a well-documented history of fraudulent actors approaching investors with purported opportunities to invest in private technology and life sciences companies prior to a public offering. These schemes typically target individuals who are aware of a company's activities and believe they may be unable to invest through conventional means. Anyone who receives unsolicited outreach offering "pre-IPO Metaboly shares," "Metaboly equity," "Metaboly stock," or "a stake in Metaboly" from a party they did not approach directly through Metaboly's authorised channels should treat that outreach with serious caution. If you believe you have been targeted by such an approach, we encourage you to contact your local law enforcement, your provincial securities regulator, or the Canadian Securities Administrators to report the matter.

Metaboly will update this page as we become aware of specific individuals or entities engaged in apparently fraudulent activity using our name or representing access to our securities. We are not in a position to speak to the conduct of every person or entity that may use our name in connection with an investment solicitation. What we can confirm is that any party not explicitly authorised by Metaboly in writing is not a legitimate source of Metaboly equity. This is not an exhaustive list, and others may be operating in a similar manner without our knowledge. We encourage all prospective investors to exercise independent judgment, conduct thorough due diligence, and contact us directly if they have any question about the legitimacy of an offer.
